Private Circle Participation

1. Definitions
1.1 Provider refers to Elite Connections FZ-LLC, a legal entity registered under the laws of UAE, with its registered office at FDRK3003 Compass Building, Al Shohada Road, AL Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates.
1.2 Participant refers to any individual or entity that purchases, registers for, or otherwise engages in the Participation.
1.3 Participation refers to the subscription-based engagement within the Provider’s ecosystem, including strategic content, frameworks, and associated materials, available under different tiers (Monthly, Yearly Insider, VIP).
1.4 Ecosystem refers to all websites, portals, communication environments, and digital systems operated by the Provider.
1.5 Content refers to all materials, podcasts, videos, written frameworks, live sessions, and strategic resources made available.
1.6 Term refers to the twelve (12) month participation period unless otherwise specified.
1.7 UHNI Profiles refer to individuals with a verified or estimated net worth of USD 1,000,000, USD 30,000,000+, or USD 100,000,000+, depending on the defined scope, filters, and selection criteria applied within the Participation.
UHNI Profiles include individuals and entities within high-net-worth and capital-relevant categories, including but not limited to:
High-net-worth executives;
High-net-worth investors;
Ultra-high-net-worth individuals;
High-net-worth families;
Entrepreneurs, founders, and business owners with significant capital ownership;
Affluent professionals and high-income earners;
Enterprise-level decision-makers;
Angel investors;
Family office executives, principals, and chief investment officers;
Capital allocators and structuring parties;
Managing partners, directors, and limited partners;
Private equity participants and capital allocators;
Representatives of private equity funds, venture capital firms, and investment entities with direct capital allocation authority.
These profiles are defined based on a combination of net worth, professional position, capital ownership, capital allocation capacity, and decision-making authority within UHNI and capital environments.
1.8 Relationships refer to curated contact profiles made available within the ecosystem, which may originate from a combination of private networks, elite clubs, proprietary relationship management systems, and (in)direct connections that have provided consent to receive relevant business or commercial communication. Such relationships do not constitute direct representation, ownership, or control by the Provider.
2. Scope of Agreement
2.1 These Terms apply to all Participation tiers.
2.2 These Terms govern all rights, obligations, and responsibilities in connection with the Participation.
2.3 By purchasing or engaging in the Participation, full acceptance of these Terms is acknowledged..
3. Participation & Materials
3.1 The Participation includes structured components designed to support positioning, communication, and proximity within UHNI and capital-relevant environments, including:
A curated body of strategic content and frameworks focused on positioning within UHNI and capital ecosystems;
Ongoing release of private, high-level discussions and insights centered around capital movement, decision-making dynamics, and strategic positioning;
Recurring closed-door sessions designed to explore communication, positioning, and UHNI conversion dynamics in real-time contexts;
Written strategic breakdowns outlining structural differences between incidental and systematic capital attraction;
Proprietary communication and positioning methodologies developed to engage capital allocators, decision-makers, and UHNI individuals.
3.2 Any additional materials, including templates, communication frameworks, or other supporting resources, are provided solely as supplementary tools to support positioning, communication, and strategic execution, and do not constitute the core of the Participation.
3.3 All materials, frameworks, and methodologies are provided for strategic and educational purposes. Their interpretation, application, and execution remain solely at the discretion and responsibility of the individual.
3.4 The Provider shall not be liable for outcomes, including but not limited to financial results, capital alignment, business performance, or strategic decisions arising from the use or application of any materials, frameworks, or methodologies.
3.5 Full responsibility for ensuring compliance with applicable laws, regulations, and professional standards in the application of any strategies, communications, or positioning remains entirely with the individual.
3.6 Within specific Participation tiers (including VIP and VIP Lifetime), curated relationships may be made available based on defined filters such as net worth, geographic region, industry, profile type, scope, and other relevant criteria.
3.7 For VIP Participation, up to 10,000 UHNI profiles are made available based on selected criteria. Filtering is limited to a single primary region per request.
3.8 For VIP Lifetime Participation, up to 25,000 UHNI profiles are made available based on defined preferences and scope, with the ability to filter across multiple geographic regions, multiple industries, and multiple net worth categories.
3.9 All relationships are filtered and curated from a broader ecosystem consisting of over 5,000,000 HNI and UHNI profiles globally, and are delivered based on individual request parameters. Delivery typically occurs within three (3) to seven (7) business days, depending on the complexity of the request. Where additional time is required, the Participant will be informed accordingly.
3.10 The curation process involves a combination of UHNI behavioral analysis, geographic considerations, professional profiling, and strategic filtering to ensure relevance and specificity. Time-sensitive or economically advantageous conditions may be incorporated where applicable to strengthen positioning and engagement potential.
3.11 Participation within the ecosystem enables individuals to develop positioning and engagement within UHNI and capital environments independently.
Within VIP and VIP Lifetime tiers, curated relationships are made available as an additional structural component designed to accelerate proximity by enabling more direct and immediate engagement opportunities.
Such availability enhances the speed and efficiency of positioning and communication within UHNI and capital environments, without altering the underlying requirement for individual execution, communication, and strategic positioning.
3.12 Within VIP and VIP Lifetime tiers, relationships are curated and made available as a structural component of the Participation, designed to accelerate positioning, communication, and proximity within UHNI and capital environments through precise alignment across industry, geographic region, net worth, and decision-making level, enabling more immediate and relevant engagement. rather than serving as a transactional outreach system or volume-based targeting approach.
3.13 Within VIP and VIP Lifetime tiers, a dedicated strategy session with the Provider’s team is included, focused on the direct application of the frameworks and the definition of strategic objectives for the first thirty (30) days of participation.
This session ensures that the frameworks are implemented within the correct context, with guidance on positioning, communication, and execution priorities, and includes direction on where and how maximum value can be effectively obtained within the ecosystem, enabling participants to operate with the appropriate structure and context to maximize conversion.
3.14 Within VIP Lifetime Participation, up to two (2) to three (3) curated introductions from Provider’s direct private relationships may be facilitated with capital allocators across multiple jurisdictions globally, based on alignment with the defined scope, positioning, and investment context.
These introductions are structured to establish a direct and pre-aligned relationship, where capital parameters and investment focus are already understood in advance, contributing to increased proximity and acceleration of the conversion process, particularly in situations where timing and execution are critical.
VIP Lifetime Participation is structured to support capital environments and opportunity structures exceeding USD 100,000,000, where complexity, multi-jurisdictional considerations, and advanced alignment requirements are present, enabling positioning and engagement within such contexts.
4. Value Creation & Positioning
4.1 The Participation is designed to enable:
High-level positioning within capital-relevant environments;
Strategic communication with decision-makers;
The development of proximity to UHNI individuals and capital allocators;
The understanding and application of conversion and commitment dynamics within UHNI and capital environments, including how initial interest is transitioned into structured engagement, formal commitment, and capital allocation decisions.
4.2 The Participation is structured around positioning, communication, and strategic alignment within capital environments, enabling proximity to UHNI individuals and capital allocators, and eliminating core issues such as uncertainty and dependency on intermediaries found in transactional, commission-based, or deal-dependent models.
4.3 The core value of the Participation lies in the development of positioning, communication structures, and strategic alignment within UHNI and capital-relevant environments.
4.4 Outcomes are driven by individual positioning, execution, and consistency within UHNI and capital-relevant environments.
4.5 The Participation includes structured frameworks and methodologies designed to influence positioning, communication, and engagement within UHNI and capital environments.
Based on the application of these frameworks, the following performance dynamics may be observed:
A shift in inbound interest, communication, and outreach from capital allocators, UHNI individuals, and decision-makers within a period of approximately thirty (30) days;
The opportunity to enable approximately 10 to 21 qualified meetings within the first month, based on UHNI and capital proximity, where individuals are aligned across core variables including industry, geographic region, net worth, and decision-making authority, structured through positioning establishing authority and relevance prior to the meeting, resulting in higher-quality interactions and more direct progression toward commitment. dependent on individual execution and application. These outcomes depend on individual execution, consistency, and the correct application of the provided frameworks and positioning strategies within UHNI and capital environments.
An increase in conversion rates of approximately up to 30% in the transition from initial interest to structured commitment, supported by improved understanding of UHNI decision-making dynamics;
Within VIP and VIP Lifetime tiers, a potential reduction in cost of acquisition of up to approximately 85%, due to reduced reliance on traditional marketing, promotion, intermediaries, or event-based networking, replacing traditional sources of (U)HNI proximity.
These performance dynamics are indicative of the structural advantages of the Participation model and are not guaranteed outcomes, but rather observed patterns and feedback derived from Participation.
4.6 The Participation is designed to support the development of an independently established UHNI and capital portfolio, built through consistent positioning, communication, and proximity within UHNI and capital environments, enabling long-term relationship formation and ongoing capital engagement beyond individual transactions.
5. Conduct & Standards
5.1 All participation within the ecosystem shall remain professional, respectful, and aligned with the nature of UHNI and capital environments.
5.2 The following constitutes a material breach:
Harassment, abusive behavior, or threats;
Misrepresentation, misleading communication, or unethical conduct;
Any behavior that may cause reputational harm to the Provider or other participants.
5.3 In the event of a breach, the Provider reserves the right to:
Suspend or terminate participation immediately;
Retain any outstanding payment obligations;
Pursue legal remedies where applicable.
6. Intellectual Property & Confidentiality
6.1 All Content remains the exclusive property of the Provider and is protected under applicable intellectual property laws.
6.2 Content may not be copied, reproduced, distributed, licensed, or used for commercial purposes without prior written consent.
6.3 All materials, frameworks, and interactions within the ecosystem are confidential and intended solely for personal strategic use.
6.4 Unauthorized use or disclosure may result in legal action, including injunctive relief and recovery of damages.
7. Payment Terms
7.1 All fees are final and non-refundable.
7.2 Participation renews automatically unless cancelled in writing at least thirty (30) days prior to renewal via legal@highvalueclients.eu.
7.3 Late payments may be subject to an administrative fee and/or a late payment penalty of up to 2% per month on the outstanding amount, commencing fourteen (14) days after the payment due date, or such other amount as may be permitted under applicable law.
7.4 In the event of failed payment:
Participation may be suspended;
A period of fourteen (14) days is granted to restore payment;
Continued non-payment may result in termination.
Continued non-payment results in termination of Participation without any right to refund;
Upon termination due to non-payment, any outstanding or remaining amounts under the agreed term shall become immediately due and payable, and the Provider reserves the right to pursue collection of such amounts.
8. Ecosystem Availability
8.1 The Provider does not guarantee uninterrupted or continuous availability of the ecosystem or its technical systems.
8.2 The ecosystem may be modified, updated, or temporarily unavailable due to maintenance, improvements, technical errors, or external factors.
In the event of technical errors, the Provider will use reasonable efforts to restore normal functionality within a period typically ranging from a few hours up to twenty-four (24) hours.
Where disruptions are caused by third-party service providers or external technical dependencies beyond the Provider’s control, restoration timelines may vary depending on such providers, and the Provider shall not be held responsible for delays arising from such circumstances.
9. Community & Interactions
9.1 The ecosystem may include communication and networking features within UHNI and capital environments.
9.2 All interactions occur at individual discretion and responsibility.
9.3 The Provider is not a party to any communications, agreements, or transactions between participants.
9.4 The Provider does not mediate or resolve disputes between participants.
9.5 The Provider reserves the right to remove or restrict participation where conduct is deemed inconsistent with the standards of UHNI and capital environments.
10. Brand Protection and Representation
10.1 Participants may not represent themselves as partners, agents, representatives, or affiliates of the Provider.
10.2 Participants shall not make any statements, claims, or representations that imply endorsement, authority, or formal association with the Provider beyond their Participation.
10.3 Any use of the Provider’s name, brand, materials, or positioning in external communication must remain accurate, non-misleading, and consistent with the nature of the Participation.
10.4 Any misrepresentation of affiliation, authority, or relationship with the Provider may result in immediate suspension or termination of Participation, without prejudice to any legal remedies available to the Provider.
11. Indemnification
11.1 Participants agree to indemnify and hold harmless the Provider from any claims, liabilities, damages, or expenses arising from their conduct, communications, or activities within the ecosystem.
12. Privacy & Data Protection
12.1 Personal data is processed for the purpose of delivering Participation and managing communication within the ecosystem.
12.2 Data handling is conducted in accordance with applicable data protection laws, including GDPR where applicable.
12.3 Participants retain the right to request access, correction, or deletion of their personal data in accordance with applicable regulations.
13. Force Majeure
13.1 The Provider shall not be liable for any delay or failure in performance resulting from circumstances beyond reasonable control, including but not limited to technical failures, natural events, governmental actions, or external disruptions.
14. Governing Law
14.1 This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates.
14.2 Any dispute, controversy, or claim arising out of or in connection with this Agreement, including its existence, validity, breach, or termination, shall be finally resolved by binding arbitration.
14.3 The seat of arbitration shall be London, United Kingdom, and the arbitration shall be conducted in accordance with the rules of the London Court of International Arbitration (LCIA), or such other internationally recognized arbitration institution as may be agreed between the Parties.
14.4 The arbitration proceedings shall be conducted in the English language.
14.5 The arbitral award shall be final, binding, and enforceable upon the Parties, and judgment upon the award may be entered and enforced in any court of competent jurisdiction.
14.6 The Parties irrevocably waive any right to bring claims before any court or tribunal that would contravene this arbitration agreement, except for the purposes of enforcing an arbitral award or seeking interim or injunctive relief where necessary.
14.7 The Parties acknowledge that all payment obligations, indemnities, and enforcement rights under this Agreement shall be enforceable through arbitration in accordance with this Article, and that any arbitral award may include orders for payment, damages, interest, and costs.
15. Amendments
15.1 The Provider reserves the right to modify or update these Terms at any time.
15.2 Continued participation constitutes acceptance of any updated Terms.
16. Outcomes, Proximity, and Results Disclaimer
16.1 The Participation is designed to provide positioning, communication structures, and strategic methodologies within UHNI and capital environments.
16.2 The Participation is centered around enabling UHNI and capital proximity through positioning, communication, and strategic execution within such environments.
16.3 UHNI and capital proximity is not provided as a fixed deliverable and is not guaranteed in relation to specific individuals, capital sources, opportunities, or outcomes.
16.4 Within certain tiers (including VIP), proximity may be facilitated or streamlined where there is clear alignment between operational structure, positioning, strategic objectives, and scope. Such facilitation does not constitute a guarantee of access, engagement, commitment, or capital allocation.
16.5 No guarantees are made regarding:
Network expansion or relationship formation;
UHNI and capital proximity to specific individuals, capital sources, or opportunities;
Deal flow, capital raised, or financial outcomes;
Any form of engagement, commitment, or transaction.
16.6 The Participation is based on positioning, structure, and strategic communication, and does not operate as a transactional, commission-based, or deal-dependent model.
This approach addresses a fundamentally different objective, focused on developing positioning, communication leverage, and UHNI and capital proximity within UHNI and capital environments, rather than targeting single transactions or predefined deal outcomes.
16.7 Outcomes are influenced by the combination of the structures, methodologies, and positioning provided through the Participation, together with individual application, execution, and consistency within UHNI and capital environments.
16.8 The Provider does not control, influence, or guarantee the behavior, responsiveness, engagement, or decision-making of any UHNI individuals, capital allocators, or relationships made available through the Participation. Any interaction, response, or outcome resulting from such relationships depends on external parties and individual engagement dynamics.
17. Acceptance
17.1 By engaging in Participation and completing payment, full acceptance of these Terms is acknowledged without the need for signature.

7.3 Late payments may be subject to an administrative fee and/or a late payment penalty of up to 2% per month on the outstanding amount, commencing fourteen (14) days after the payment due date, or such other amount as may be permitted under applicable law.
7.4 In the event of failed payment:
Participation may be suspended;
A period of fourteen (14) days is granted to restore payment;
Continued non-payment may result in termination.
Continued non-payment results in termination of Participation without any right to refund;
Upon termination due to non-payment, any outstanding or remaining amounts under the agreed term shall become immediately due and payable, and the Provider reserves the right to pursue collection of such amounts.
8.2 The ecosystem may be modified, updated, or temporarily unavailable due to maintenance, improvements, technical errors, or external factors.
In the event of technical errors, the Provider will use reasonable efforts to restore normal functionality within a period typically ranging from a few hours up to twenty-four (24) hours.
Where disruptions are caused by third-party service providers or external technical dependencies beyond the Provider’s control, restoration timelines may vary depending on such providers, and the Provider shall not be held responsible for delays arising from such circumstances.
9.2 All interactions occur at individual discretion and responsibility.
9.3 The Provider is not a party to any communications, agreements, or transactions between participants.
9.4 The Provider does not mediate or resolve disputes between participants.
9.5 The Provider reserves the right to remove or restrict participation where conduct is deemed inconsistent with the standards of UHNI and capital environments.
10.2 Participants shall not make any statements, claims, or representations that imply endorsement, authority, or formal association with the Provider beyond their Participation.
10.3 Any use of the Provider’s name, brand, materials, or positioning in external communication must remain accurate, non-misleading, and consistent with the nature of the Participation.
10.4 Any misrepresentation of affiliation, authority, or relationship with the Provider may result in immediate suspension or termination of Participation, without prejudice to any legal remedies available to the Provider.
12.2 Data handling is conducted in accordance with applicable data protection laws, including GDPR where applicable.
12.3 Participants retain the right to request access, correction, or deletion of their personal data in accordance with applicable regulations.
14.2 Any dispute, controversy, or claim arising out of or in connection with this Agreement, including its existence, validity, breach, or termination, shall be finally resolved by binding arbitration.
14.3 The seat of arbitration shall be London, United Kingdom, and the arbitration shall be conducted in accordance with the rules of the London Court of International Arbitration (LCIA), or such other internationally recognized arbitration institution as may be agreed between the Parties.
14.4 The arbitration proceedings shall be conducted in the English language.
14.5 The arbitral award shall be final, binding, and enforceable upon the Parties, and judgment upon the award may be entered and enforced in any court of competent jurisdiction.
14.6 The Parties irrevocably waive any right to bring claims before any court or tribunal that would contravene this arbitration agreement, except for the purposes of enforcing an arbitral award or seeking interim or injunctive relief where necessary.
14.7 The Parties acknowledge that all payment obligations, indemnities, and enforcement rights under this Agreement shall be enforceable through arbitration in accordance with this Article, and that any arbitral award may include orders for payment, damages, interest, and costs.
15.2 Continued participation constitutes acceptance of any updated Terms.
16.2 The Participation is centered around enabling UHNI and capital proximity through positioning, communication, and strategic execution within such environments.
16.3 UHNI and capital proximity is not provided as a fixed deliverable and is not guaranteed in relation to specific individuals, capital sources, opportunities, or outcomes.
16.4 Within certain tiers (including VIP), proximity may be facilitated or streamlined where there is clear alignment between operational structure, positioning, strategic objectives, and scope. Such facilitation does not constitute a guarantee of access, engagement, commitment, or capital allocation.
16.5 No guarantees are made regarding:
Network expansion or relationship formation;
UHNI and capital proximity to specific individuals, capital sources, or opportunities;
Deal flow, capital raised, or financial outcomes;
Any form of engagement, commitment, or transaction.
16.6 The Participation is based on positioning, structure, and strategic communication, and does not operate as a transactional, commission-based, or deal-dependent model.
This approach addresses a fundamentally different objective, focused on developing positioning, communication leverage, and UHNI and capital proximity within UHNI and capital environments, rather than targeting single transactions or predefined deal outcomes.
16.7 Outcomes are influenced by the combination of the structures, methodologies, and positioning provided through the Participation, together with individual application, execution, and consistency within UHNI and capital environments.
16.8 The Provider does not control, influence, or guarantee the behavior, responsiveness, engagement, or decision-making of any UHNI individuals, capital allocators, or relationships made available through the Participation. Any interaction, response, or outcome resulting from such relationships depends on external parties and individual engagement dynamics.
